These Terms of Service govern access to and use of the company’s services and related materials. By engaging with the organization, users acknowledge and accept these terms. If a client signs a separate written agreement, that agreement will take precedence where explicitly stated. Otherwise, these general terms apply to the provision of consulting, design, analytics, and performance services.
Acceptance of Terms
Use of any services constitutes acceptance of these terms. If a user does not agree to the terms, they should refrain from using the services. The organization may require written agreements for certain projects; in such cases, acceptance is confirmed via signatures or other formal consent mechanisms.
Use of Services
Services are provided for lawful purposes only. Users must not use the organization’s services to infringe rights, distribute harmful content, or engage in activities that compromise systems or data. Access credentials, if issued, are for individual use and must be protected. The organization reserves the right to suspend or restrict access if misuse or abuse is suspected.
Intellectual Property
Intellectual property created during engagements remains subject to the terms of the specific agreement between the parties. Unless otherwise agreed, the organization retains ownership of pre-existing methodologies, tools, frameworks, and code components used to deliver services. Clients are typically granted licenses to use deliverables for agreed-upon purposes. Any third-party materials incorporated into deliverables will be licensed appropriately, and details will be disclosed in project documentation.
Limitation of Liability
To the maximum extent permitted by law, the organization’s liability for any claim arising out of or related to the services is limited to the amounts actually paid for those services during the twelve months prior to the claim. The organization is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, even if advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; where prohibited, such limitations will apply only to the extent permitted by law.
Termination
Either party may terminate a services agreement in accordance with the terms of the specific contract. For engagements governed solely by these Terms, the organization may terminate services on reasonable notice if a user materially breaches these terms and fails to cure within a specified period. Upon termination, outstanding fees for services rendered and expenses incurred become immediately due. Termination does not relieve either party of obligations that by their nature survive termination, such as payment obligations and confidentiality commitments.
Changes to Terms
The organization may revise these Terms of Service from time to time. Substantive changes will be communicated to affected clients in a reasonable manner; continued use of services after changes indicates acceptance. Users are encouraged to review the terms periodically to remain informed of any updates.
